End User License Agreement (EULA)

1. License Grant

1.1 Limited License

Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software for your personal or internal business purposes related to rental property verification and matching in Malaysia.

1.2 Scope of License

This license permits you to:

• Access the Software through supported web browsers and devices
• Create and maintain one (1) user account
• Use all features available to your subscription tier
• Upload and manage content as permitted by the Software

1.3 Subscription Tiers

The Software may be offered through different subscription tiers (free and paid). Your access to specific features depends on your selected subscription plan. The Company reserves the right to modify, add, or remove features from any subscription tier with reasonable notice.

2. License Restrictions

You shall not, and shall not permit any third party to:

• Copy, modify, adapt, translate, or create derivative works based on the Software
• Reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code of the Software
• Rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Software or access thereto to any third party
• Remove, alter, or obscure any proprietary notices, labels, or marks on the Software
• Use the Software to build a competitive product or service, or copy any features, functions, or graphics of the Software
• Use automated scripts, bots, crawlers, scrapers, or similar data-gathering tools on the Software
• Interfere with, disrupt, or create an undue burden on the Software or the networks or services connected to the Software
• Attempt to gain unauthorized access to the Software, other user accounts, or any computer systems or networks connected to the Software
• Use the Software for any unlawful purpose or in violation of any applicable Malaysian or international laws
• Share your account credentials with any third party or allow multiple individuals to use a single account

3. Intellectual Property Rights

3.1 Company Ownership

The Software, including all content, features, functionality, design, code, graphics, logos, trademarks ("EZLEASE" and related marks), and documentation, are and shall remain the exclusive property of the Company and its licensors. This Agreement does not convey to you any ownership interest in the Software, but only a limited right of use revocable in accordance with this Agreement.

3.2 User Content

You retain ownership of all content you submit through the Software, including verification documents, property listings, photographs, and messages. By submitting content, you grant the Company a worldwide, non-exclusive, royalty-free license to use, store, reproduce, and display such content solely for the purpose of operating, maintaining, and improving the Software.

3.3 Feedback

If you provide suggestions, ideas, feedback, or recommendations regarding the Software ("Feedback"), the Company may use such Feedback without any obligation to you. You hereby assign to the Company all rights, title, and interest in and to such Feedback.

4. Data Collection and Privacy

4.1 Data Processing

The Software collects and processes personal data as described in our Privacy Policy and in compliance with the Personal Data Protection Act 2010 (PDPA). By using the Software, you consent to such data collection and processing.

4.2 Document Confidentiality

Verification documents submitted through the Software are treated with strict confidentiality. Raw documents are only accessible to authorized EzLease verification personnel and are never shared with other users. Other users will only see your verification status (verified or not verified).

4.3 Data Security

The Company implements industry-standard security measures to protect your data, including encryption in transit and at rest. However, no method of transmission or storage is 100% secure, and the Company cannot guarantee absolute security of your data.

5. Payment and Subscription Terms

5.1 Subscription Plans

Access to certain features of the Software requires a paid subscription. Subscription plans, pricing, and features are as displayed on the Software at the time of purchase.

5.2 Payment Processing

Payments are processed through authorized third-party payment processors. The Company does not directly store or process credit card information. You agree to the payment processor's terms and conditions when making a payment.

5.3 Auto-Renewal

Recurring subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You are responsible for managing your subscription and cancelling before the renewal date if you do not wish to continue.

5.4 No Refund Policy

ALL PURCHASES ARE FINAL AND NON-REFUNDABLE. This includes monthly subscriptions, annual subscriptions, lifetime access deals, and any promotional purchases. No refunds will be issued for partially used subscription periods.

5.5 Price Changes

The Company reserves the right to modify pricing. You will be notified at least thirty (30) days before any price increase takes effect. Price changes will not affect existing subscriptions until the next renewal period.

6. Disclaimers

6.1 "As Is" Basis

THE SOFTWARE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY MALAYSIAN LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

6.2 No Guarantee of Availability

The Company does not warrant that the Software will be uninterrupted, error-free, secure, or free of viruses or other harmful components. The Software may be subject to scheduled or unscheduled downtime for maintenance, updates, or other reasons.

6.3 Intermediary Role

The Software facilitates connections between tenants and property owners. The Company does not act as a real estate agent, property manager, or landlord. The Company does not guarantee the accuracy of property listings, the conduct of users, or the success of any rental transaction.

6.4 Verification Disclaimer

Document verification performed through the Software does not constitute an endorsement, recommendation, or guarantee of any user. Verification confirms document authenticity only and does not guarantee creditworthiness, financial stability, or suitability as a tenant or landlord.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY MALAYSIAN LAW:

• THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.
• THE COMPANY SHALL NOT BE LIABLE FOR DAMAGES ARISING FROM: (a) YOUR USE OR INABILITY TO USE THE SOFTWARE; (b) INTERACTIONS BETWEEN USERS; (c) PROPERTY TRANSACTIONS ARRANGED THROUGH THE SOFTWARE; (d) UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA; (e) SERVICE INTERRUPTIONS OR TECHNICAL FAILURES; (f) FRAUDULENT OR MISLEADING INFORMATION PROVIDED BY OTHER USERS.
• THE COMPANY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THIS AGREEMENT OR THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR RM100, WHICHEVER IS GREATER.

8. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

• Your use of or access to the Software
• Your violation of this Agreement
• Your violation of any rights of any third party
• Your submission of false, fraudulent, or misleading information
• Your content uploaded to or transmitted through the Software

9. Termination

9.1 Termination by You

You may terminate this Agreement at any time by deleting your account through the Software's account settings or by contacting us at hello@ezlease.my. No refunds will be provided for any unused subscription period upon termination.

9.2 Termination by Company

The Company may suspend or terminate your license and access to the Software immediately, without prior notice, if you breach any provision of this Agreement, submit fraudulent documents, engage in harmful conduct, or if required by law.

9.3 Effect of Termination

Upon termination of this Agreement:

• Your license to use the Software is immediately revoked
• You must cease all use of the Software
• You may request deletion of your personal data in accordance with the PDPA and our Privacy Policy
• Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law shall survive termination

10. Updates and Modifications

10.1 Software Updates

The Company may update, modify, or discontinue the Software (or any part thereof) at any time with or without notice. Updates may include bug fixes, feature additions, feature removals, and security patches. Continued use of the Software after updates constitutes acceptance of any changes.

10.2 EULA Modifications

The Company reserves the right to modify this Agreement at any time. Material changes will be communicated via email notification at least fourteen (14) days before taking effect. Your continued use of the Software after the effective date of modified terms constitutes acceptance of those changes.

11. Governing Law and Dispute Resolution

11.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Malaysia, including the Contracts Act 1950, Consumer Protection Act 1999, Personal Data Protection Act 2010, and Communications and Multimedia Act 1998.

11.2 Jurisdiction

You irrevocably submit to the exclusive jurisdiction of the courts of Malaysia for the resolution of any disputes arising from or relating to this Agreement.

11.3 Dispute Notification

Before initiating legal proceedings, you agree to notify the Company in writing at hello@ezlease.my and allow thirty (30) days for amicable resolution.

12. General Provisions

12.1 Entire Agreement

This Agreement, together with the Terms of Service, Privacy Policy, and PDPA Compliance Statement, constitutes the entire agreement between you and the Company regarding the Software.

12.2 Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

12.3 Waiver

No waiver of any provision shall constitute a continuing waiver. The Company's failure to enforce any right or provision shall not constitute a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer this Agreement or your rights hereunder without our prior written consent. The Company may assign this Agreement without restriction.

12.5 Language

This Agreement is drafted in English. In the event of any translation, the English version shall prevail.

12.6 Force Majeure

The Company shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including natural disasters, war, terrorism, strikes, government restrictions, or internet service provider failures.
